These Terms of Service (the “Terms”) are a legal agreement between you and
Marby AI Inc. (doing business as Marby.ai) (“Marby,” “we,” “us,” or
“our”). They govern your access to and use of Marby’s websites, public
discovery tools, member application, artificial-intelligence features, social
connections, content-generation and publishing tools, and related products and
services (collectively, the “Service”).
By creating an account, purchasing a membership, connecting a third-party
account, requesting a public Discovery report, or otherwise using the Service,
you agree to these Terms and Marby’s Privacy Policy. If you do not agree, do
not use the Service.
If you use the Service for a company or other organization, you represent that
you have authority to accept these Terms on its behalf. In that case, “you”
includes both you and that organization.
1. Eligibility
You must be at least 18 years old and have reached the legal age of majority in
your jurisdiction to create an account or purchase a membership. You must be
legally capable of entering into a binding agreement.
The Service is intended for lawful business and professional use. You may not
use the Service if doing so would violate applicable law or if Marby has
previously suspended or terminated your access for a material violation of
these Terms.
2. Accounts and Account Security
You agree to:
- provide accurate, complete, and current registration, billing, business, and
contact information; - maintain the confidentiality of your sign-in credentials;
- use only accounts and contact information you are authorized to use;
- promptly update information that changes; and
- notify Marby promptly at support@marby.ai if you suspect unauthorized
access, credential compromise, or misuse of your account.
You are responsible for activity performed through your account except to the
extent it results from Marby’s breach of these Terms or failure to use
reasonable safeguards. Marby may require identity or account verification
before granting access, changing account information, or processing a sensitive
request.
Accounts are personal to the registered member or organization and may not be
sold, transferred, or shared in a manner that circumvents membership limits or
security controls.
3. The Marby Service
Marby provides AI-assisted tools that may help you:
- describe and understand your business, brand, customers, competitors, and
market; - create business, customer, market, and brand analyses;
- prepare monthly marketing plans, campaigns, promotions, social posts, calls
to action, hashtags, and images; - organize, edit, approve, schedule, and publish content;
- connect eligible third-party social accounts and select available publishing
destinations; and - review publishing status and available performance information.
Features, limits, supported platforms, planning windows, storage, generation
capacity, and publishing options depend on your membership and the current
Service configuration. The description and price displayed at checkout form
part of your purchase terms.
Marby may improve, replace, add, restrict, or retire features as the Service
evolves. We will provide reasonable notice when a change materially reduces a
paid feature during an active billing period, unless the change is required
immediately for security, legal, provider, or operational reasons.
4. Public Discovery Reports
Marby’s public MAI Discovery feature may review the website address you submit
and other publicly available information to prepare a limited business report.
You must be authorized to submit the website and email address used for the
request.
Discovery reports are informational, may be subject to one-report and abuse-
prevention limits, and do not create a paid membership or guarantee any
particular result. Private report links and verification messages must not be
shared with anyone who is not authorized to view the report.
5. MAI and AI-Generated Material
The Service uses artificial intelligence, including external AI service
providers, to produce analyses, suggestions, plans, text, images, and other
material (“Output”) based on information, content, and instructions supplied
by you or made available to the Service (“Input”).
You understand and agree that:
- Output is generated by automated systems and may be inaccurate, incomplete,
outdated, unsuitable, or inconsistent; - similar or identical Output may be generated for other users;
- Output may not qualify for copyright, trademark, or other intellectual-
property protection; - Marby does not guarantee that Output is unique, non-infringing, legally
compliant, commercially effective, or appropriate for your audience; - website research and third-party information may be incomplete or incorrect;
and - you are responsible for reviewing, editing, approving, and verifying Output
before relying on it or publishing it.
Output is not legal, financial, medical, accounting, regulatory, or other
professional advice. You are responsible for obtaining qualified advice when
needed and for ensuring that advertising claims, promotions, disclosures,
competitions, regulated-industry content, and published material comply with
applicable law and professional requirements.
6. Your Content and Instructions
“Your Content” means Input, business information, text, images, videos,
logos, links, schedules, instructions, and other material you upload, enter,
approve, connect, or make available through the Service.
As between you and Marby, you retain the rights you hold in Your Content. You
grant Marby and its service providers a worldwide, non-exclusive, limited
license to host, copy, process, transmit, format, modify, display, and otherwise
use Your Content only as reasonably necessary to:
- provide the features and Output you request;
- store and display your work;
- publish content according to your instructions;
- secure, support, troubleshoot, and improve the reliability of the Service;
- enforce these Terms; and
- comply with applicable law.
This license ends when Your Content is deleted from active systems, except for
residual secured backups, de-identified information, and information Marby must
retain as described in the Privacy Policy.
You represent and warrant that you have all rights, permissions, licenses, and
consents required to provide and use Your Content and to authorize Marby to
process or publish it as directed. You are responsible for Your Content and the
consequences of approving, scheduling, or publishing it.
Subject to these Terms, your paid membership, third-party rights, and applicable
law, you may use Output created for you for your own lawful business purposes.
Marby retains all rights in the Service, its software, systems, templates,
prompts, workflows, designs, documentation, branding, and underlying technology.
7. Acceptable Use
You may use the Service only for lawful purposes. You must not:
- upload, generate, publish, or promote unlawful, fraudulent, defamatory,
deceptive, harassing, hateful, exploitative, sexually explicit, or infringing
material; - impersonate another person or organization or misrepresent your identity,
authority, affiliation, products, services, or results; - publish content or advertising without the permissions, disclosures,
licenses, substantiation, or consent required by law; - send spam, phishing, malware, unauthorized commercial messages, or deceptive
promotions; - connect, access, scrape, or publish to a website, account, Page, profile, or
channel you are not authorized to control; - infringe privacy, publicity, copyright, trademark, contractual, or other
rights; - distribute malicious code or attempt to gain unauthorized access to the
Service, another account, or any connected system; - probe, scan, overload, disrupt, disable, or interfere with Service security,
integrity, availability, or performance; - use bots, automated scripts, or other methods to evade verification,
throttling, generation limits, membership rules, or abuse controls; - reverse engineer, decompile, copy, frame, mirror, resell, sublicense, or
commercially exploit the Service except as expressly permitted by law or a
written agreement with Marby; - remove proprietary notices or falsely suggest that Output was independently
verified or guaranteed by Marby; or - use the Service to develop, train, or benchmark a competing system without
Marby’s written permission.
Marby may block content, websites, requests, connections, or activity that it
reasonably believes violates these Terms, applicable law, platform rules, or
Marby’s safety and content standards.
8. Social-Platform Connections and Publishing
The Service may connect with third-party platforms such as Meta, Instagram,
Facebook, and LinkedIn. Additional platforms may be introduced or identified as
coming soon.
You must:
- comply with each connected platform’s terms, policies, technical rules, and
content requirements; - connect only accounts and business assets you are authorized to manage;
- grant the permissions required for the features you choose;
- maintain valid platform access and accurate connection settings; and
- review every post, destination, date, time, link, and media selection before
scheduling or publishing.
Marby can display and use only the accounts, Pages, profiles, and permissions a
third-party platform makes available. A platform may limit, reject, delay,
remove, modify, or discontinue access, permissions, publishing, metrics, or
other functionality at any time.
Scheduling does not guarantee publication. Posts may fail or be delayed because
of revoked or expired credentials, platform outages or review, unsupported
content, rate limits, account restrictions, network interruption, Service
maintenance, or other circumstances. You remain responsible for confirming
whether time-sensitive content was published correctly.
If your membership becomes pending, past due, suspended, cancelled, lapsed, or
otherwise ineligible, future scheduled posts may be blocked or cancelled.
Disconnecting a platform prevents new authorized platform activity but does not
by itself delete your Marby account or all historical records. Deletion requests
are handled under the Privacy Policy and Data Deletion Instructions.
9. Memberships, Usage Limits, and Fair Use
Paid features are provided according to the membership selected at checkout or
shown in your account. Memberships may include monthly or other limits for
generation, images, uploads, videos, schedules, social platforms, channels, or
related features.
Unused monthly capacity does not carry forward unless Marby expressly states
otherwise. Usage may be counted when a generation, upload, schedule, or other
eligible operation is successfully committed. Repeated, automated, abusive, or
unusually resource-intensive activity may be delayed, limited, or reviewed to
protect the Service and other members.
Marby may correct an obvious configuration, pricing, entitlement, or usage-
counting error. We will not use a correction to retroactively charge an amount
you did not authorize.
10. Subscriptions, Billing, and Taxes
Membership prices, currency, billing frequency, included features, and any
applicable introductory terms are displayed before checkout. You must have an
authorized payment method and provide accurate billing information.
By purchasing a recurring membership, you:
- authorize Marby and its payment provider to charge the displayed membership
fee and applicable taxes to your payment method for each billing period; - understand that the subscription renews automatically until it is cancelled;
and - authorize reasonable retries when a payment fails or is declined.
You can review available membership-management options through your Marby
account. Upgrades, downgrades, and cancellations take effect as described when
you confirm the change. A cancellation may remove access immediately, and
future scheduled activity may be cancelled or blocked.
Except where required by law or expressly stated at checkout, payments are
non-refundable and Marby does not provide prorated refunds, balance credits, or
cash value for an unused portion of a billing period or unused membership
capacity.
Marby may change prices or future subscription terms by providing reasonable
advance notice. A price change applies no earlier than a subsequent renewal
unless you expressly agree otherwise. You may cancel before the change takes
effect.
You are responsible for applicable taxes that are not collected and remitted by
Marby. Failed, reversed, disputed, or overdue payments may result in restricted,
suspended, or terminated access.
Nothing in these Terms limits a cancellation, refund, disclosure, or other
right that cannot lawfully be waived under applicable consumer-protection law.
11. Communications
Marby may send service communications necessary to operate your account,
including verification, security, billing, subscription, publishing, report,
support, and material Service notices.
Promotional communications are sent only where Marby has the consent or other
legal basis required by applicable law. You may unsubscribe from promotional
email using the message’s unsubscribe mechanism or by contacting Marby.
Unsubscribing from marketing does not prevent necessary transactional or
security communications.
12. Third-Party Services
The Service relies on or links to third-party products and services, including
hosting, security, payment, email, AI, social-platform, and public-information
providers. Your use of a third-party service may be governed by that provider’s
own terms and privacy policy.
Marby is not responsible for a third party’s independent content, decisions,
policies, security, availability, account restrictions, API changes, or
performance. Marby does not guarantee that any integration, permission, metric,
or third-party feature will remain available.
13. Marby Intellectual Property
Marby and its licensors own the Service and all related software, interfaces,
designs, trademarks, logos, documentation, methods, databases, compilations,
and other proprietary material, excluding Your Content.
Marby grants you a limited, revocable, non-exclusive, non-transferable right to
access and use the Service during an eligible membership solely for the lawful
purposes permitted by these Terms. No ownership interest in the Service is
transferred to you.
If you voluntarily provide feedback or suggestions, you grant Marby a
perpetual, worldwide, irrevocable, royalty-free right to use them without
restriction or compensation, provided Marby does not publicly identify you as
the source without permission.
Marby, Marby.ai, MAI, and associated names, marks, and designs are
owned by or licensed to Marby AI Inc. You may not use them in a manner that
suggests endorsement, partnership, or affiliation without written permission.
14. Privacy and Data Deletion
Marby’s collection, use, disclosure, retention, and protection of personal
information are described in the Privacy Policy:

Instructions for disconnecting platforms and requesting deletion are available

Account cancellation, platform disconnection, and personal-information deletion
are separate actions. Cancelling a paid membership stops the subscription as
described during cancellation but does not automatically constitute a request
to delete all account information.
15. Suspension and Termination
You may stop using the Service at any time. You may cancel your membership or
request account deletion using the available account controls and deletion
process.
Marby may restrict, suspend, or terminate access if reasonably necessary to:
- respond to a breach of these Terms or a connected platform’s rules;
- prevent suspected fraud, abuse, unauthorized access, or security harm;
- address an overdue, failed, reversed, or disputed payment;
- comply with law, legal process, or a provider requirement;
- protect Marby, our users, third parties, or the Service; or
- discontinue the Service or a material part of it.
Where reasonable, Marby will provide notice and an opportunity to correct the
issue. Immediate action may be taken when delay could create legal, security,
financial, reputational, or operational harm.
Upon termination, your right to use the affected Service ends. Scheduled
activity may be cancelled, access tokens may stop functioning, and Your Content
may become inaccessible. Data is retained or deleted according to the Privacy
Policy and applicable law.
Sections that by their nature should survive termination—including ownership,
payment obligations, disclaimers, limitations of liability, indemnity, dispute
terms, and lawful retention—will survive.
16. Service Availability and Beta Features
Marby works to provide a reliable Service but does not guarantee uninterrupted,
error-free, or continuously available operation. Maintenance, updates, provider
changes, security events, network conditions, and circumstances outside Marby’s
reasonable control may affect availability or results.
Features identified as beta, preview, pilot, test, experimental, or coming soon
may be incomplete, change without notice, or never become generally available.
Do not rely on those features for critical, regulated, or time-sensitive
activity.
17. Disclaimers
To the fullest extent permitted by applicable law, the Service and Output are
provided “as is” and “as available.” Marby disclaims all express,
implied, statutory, and collateral warranties, including warranties of
merchantability, fitness for a particular purpose, title, non-infringement,
accuracy, reliability, availability, and results.
Marby does not warrant that:
- the Service or any integration will always be available, secure, or error-
free; - Output will be accurate, unique, lawful, non-infringing, or commercially
successful; - scheduled content will publish at a particular time or at all;
- a connected platform will approve, retain, or display content or provide
particular permissions or metrics; or - use of the Service will increase sales, revenue, engagement, reach, or other
business results.
These disclaimers do not exclude warranties or protections that cannot lawfully
be excluded.
18. Limitation of Liability
To the fullest extent permitted by applicable law, Marby AI Inc. and its
directors, officers, employees, contractors, affiliates, and licensors will not
be liable for indirect, incidental, special, exemplary, punitive, or
consequential damages, or for loss of profit, revenue, goodwill, opportunity,
anticipated savings, business, content, or data, arising from or related to the
Service, Output, third-party platforms, or these Terms.
To the fullest extent permitted by law, Marby’s total aggregate liability for
all claims arising from or related to the Service or these Terms will not exceed
the total fees you paid to Marby for the Service during the 12 months immediately
before the event giving rise to the claim.
The exclusions and limit above do not apply to liability that cannot lawfully be
excluded or limited, including liability arising from fraud, wilful misconduct,
or any other responsibility for which applicable law prohibits exclusion.
19. Indemnification
To the extent permitted by law, you will indemnify and hold harmless Marby AI
Inc. and its directors, officers, employees, contractors, and affiliates from
third-party claims, damages, losses, liabilities, penalties, and reasonable
legal costs arising from:
- Your Content or instructions;
- your connection or use of a third-party account;
- content you approve, schedule, publish, advertise, or distribute;
- your breach of these Terms, a third-party platform’s terms, or applicable
law; or - your infringement or violation of another person’s rights.
This obligation does not apply to the extent a claim was caused by Marby’s own
breach, negligence, or wilful misconduct.
20. Governing Law and Disputes
These Terms are governed by the laws of the Province of Alberta and the federal
laws of Canada applicable there, without regard to conflict-of-law principles.
Before commencing formal proceedings, you and Marby agree to make a reasonable
good-faith effort to resolve the dispute by contacting the other party and
describing the concern and requested resolution.
Subject to any mandatory consumer right to bring a claim elsewhere, the courts
located in Calgary, Alberta will have exclusive jurisdiction over disputes
arising from these Terms or the Service.
Nothing in these Terms requires a consumer to waive a right or remedy that
cannot be waived under applicable law.
21. General Terms
Entire agreement
These Terms, the Privacy Policy, the information displayed at checkout, and any
additional terms expressly accepted for a feature form the agreement between
you and Marby concerning the Service. They replace prior discussions or
agreements about the same subject.
Order of precedence
If these Terms conflict with specific written terms you accept for a paid
feature or transaction, the more specific terms control for that feature or
transaction. Mandatory law always controls where it cannot be varied by
agreement.
Assignment
You may not assign these Terms or transfer your account without Marby’s written
consent. Marby may assign these Terms as part of a merger, acquisition,
reorganization, financing, or sale of all or part of its business, provided the
successor remains responsible for the obligations that apply to the Service.
Severability
If a provision is held unenforceable, it will be limited or removed only to the
minimum extent necessary, and the remaining provisions will continue in effect.
No waiver
A failure or delay in enforcing a provision is not a waiver of the right to
enforce it later.
Force majeure
Marby is not responsible for delay or failure caused by circumstances beyond
its reasonable control, including natural disasters, utility or network
failures, labour disruption, government action, cyberattack, provider outage,
or failure of a third-party platform.
Headings
Headings are for convenience and do not affect interpretation.
22. Changes to These Terms
Marby may update these Terms to reflect changes to the Service, providers,
business practices, legal requirements, or risk controls. We will post the
updated Terms and change the Last updated date.
Where required by law or where a change materially affects an active paid
membership, Marby will provide additional notice. Changes will apply
prospectively from their stated effective date. Your continued use after that
date constitutes acceptance, except where applicable law requires another form
of consent.
